SB-939 – No Commercial Evictions During COVID-19

The AAFD has just endorsed California Senate Bill SB-939 and thanks CA Senator Scott Wiener for authoring a bill that will provide a much-needed protection to franchise business owners in California by banning evictions of commercial tenants during the course of the Covid19 Pandemic.

Franchisees nationwide are facing devasting impact on their businesses, and increasingly mandated store closures. Naturally, franchisees face concerns regarding impact on their franchise and lease agreement obligations to stay open, and equally important, to pay fees required by such agreements. Most, but not all, franchise agreements, and most lease agreements, provide protection to both franchisors and franchisees, and landlords, in the form of a Force Majeure or Act of God clause.  These clauses act to forgive (waive) performance when business is disrupted by an “Act of God.” Regardless of the existence of such provisions in the franchise agreement, franchisees are advised to seek protection from their contract obligations if their business is disrupted by an Act of God.

S.3548 has been introduced in the Senate that specifically takes action to assist small business owners from the effects of Coronavirus pandemic. We now have a starting point to work from and will do our best to keep you up to date on its progress and other legislation that impacts franchisees. The main points of this legislation are to get money into the hands of small business owners through disaster loans, penalty free access to retirement funds, and possibly grants.

Franchisee Action Required – H.R. 6201, Families First Coronavirus Response Act

As you probably know, and has been widely reported, the U.S. House of Representatives passed H.R. 6201, the Families First Coronavirus Act overnight this past Friday.  It will be debated and likely passed in the Senate on Monday, and the President has already expressed his support.  Of course, the question on all of our minds is how does it impact us as franchisees?  First, a lot will come out in the coming days, with many organizations providing their analysis of the legislation.  It’s 124 pages long, so it’s not an easy task.  As detailed analysis becomes available, I will get that to you. AAFD has given its support to newly introduced fair franchising legislation in New Jersey.  A2682, a bill concerning hospitality franchisee agreements, has been introduced by Assemblyman Raj Mukherji, who is also Chair of the Assembly Judiciary Committee.  Joining him as primary sponsors are Robert Karabinchak and Ronald Dancer making the introduction a bipartisan bill.

AAFD Takes Action on California Franchise Legislation

AAFD has weighed in on two legislative issues in California in the past couple of weeks.  The first, AB-2672, which will make updates to the California Franchise Relations Act.  This bill was authored by Assemblyman Chris Holden, who also authored AB-525 in 2015, which made significant improvements to the Act.  AAFD is proud to be a sponsor of AB-2672. The second action is on SB-967, which is a bill designed to exempt franchises from the requirements of AB-5, a worker classification bill.

The recently reported scandal involving the BurgerIM® franchise system apparent implosion, has refocused a bright spotlight on the question, “How is a franchisor able to perpetrate a fraud within the fabric of franchising regulations in America?”
Have you ever heard the expression caveat emptor? It means “buyer beware.” For much of U.S. history, caveat emptor was the name of the game in consumer protection. Businesses, hucksters, and snake oil salesmen of all stripes could sell whatever they wanted and make any claims they wanted about their products. It was up to the buyer to make sure they got a fair deal.

The AAFD Welcomes the Independent Association of BurgerIM® Franchisees

In the wake of bombshell revelations (reported on January 20th in Restaurant Business Online, “The BurgerIM Disaster”) of hundreds of franchisees not receiving promised services and support, and serious allegations of fraud, mismanagement, and misappropriation of franchisee funds, scores of BurgerIM franchisees have launched the BurgerIM Franchisees Chapter of the AAFD. The association has quickly established a steering committee, a membership committee, and a bylaws committee. It is preparing to elect a board of directors and is rapidly increasing its membership.

The AAFD’s was founded in 1992 in reaction to an ongoing degradation and deterioration of franchisee rights and equity that had been evolving for many years. The actual premise for my book, The Franchise Fraud, first published in 1994, was that the then modern-day franchise falsely represented that franchising was (and is) a safe and secure path the business ownership. In fact, then (and now) the ‘modern’ franchise is more business rental than business ownership, and most franchise agreements grant the right to ‘operate’ (not own) the franchised business.

Under Fire in Federal Court: Can a claim of racial discrimination be forced to arbitration?

United States Court of Appeals for the Second Circuit in New York recently ruled in a very interesting case our firm is handling that may have far reaching effects with respect to racial discrimination in granting franchises and, more broadly, on the right of franchisors to enforce arbitration clauses against prospective franchisees.
