Our Government Protects All Consumers… Except Franchisees!

Posted by on Jan 28, 2020 in Featured, The Franchisee Voice | Comments Off on Our Government Protects All Consumers… Except Franchisees!

The recently reported scandal involving the BurgerIM® franchise system apparent implosion, has refocused a bright spotlight on the question, “How is a franchisor able to perpetrate a fraud within the fabric of franchising regulations in America?”
Have you ever heard the expression caveat emptor? It means “buyer beware.” For much of U.S. history, caveat emptor was the name of the game in consumer protection. Businesses, hucksters, and snake oil salesmen of all stripes could sell whatever they wanted and make any claims they wanted about their products. It was up to the buyer to make sure they got a fair deal.

In the wake of bombshell revelations (reported on January 20th in Restaurant Business Online, “The BurgerIM Disaster”) of hundreds of franchisees not receiving promised services and support, and serious allegations of fraud, mismanagement, and misappropriation of franchisee funds, scores of BurgerIM franchisees have launched the BurgerIM Franchisees Chapter of the AAFD. The Joint Employer Conundrum

Posted by on Nov 12, 2019 in Featured, The Franchisee Voice | Comments Off on The Joint Employer Conundrum

The AAFD’s was founded in 1992 in reaction to an ongoing degradation and deterioration of franchisee rights and equity that had been evolving for many years. The actual premise for my book, The Franchise Fraud, first published in 1994, was that the then modern-day franchise falsely represented that franchising was (and is) a safe and secure path the business ownership. In fact, then (and now) the ‘modern’ franchise is more business rental than business ownership, and most franchise agreements grant the right to ‘operate’ (not own) the franchised business.

Arbitration Clauses in Franchising Agreements

Under Fire in Federal Court: Can a claim of racial discrimination be forced to arbitration?

United States Court of Appeals for the Second Circuit in New York recently ruled in a very interesting case our firm is handling that may have far reaching effects with respect to racial discrimination in granting franchises and, more broadly, on the right of franchisors to enforce arbitration clauses against prospective franchisees.

First, I want to start by telling the AAFD membership how excited I am to be working with this organization as the Director of Public Affairs and Engagement.  I thank Robert Purvin for giving me this opportunity to work with all of you in bringing more focus and engagement to the legislative and political process. I truly believe in the power of franchisees to engage in issues that positively impact them, and of course, working to build and protect the equity in their businesses.

From the Archives: Are ‘Zors from Mars and ‘Zees from Venus?

I have compiled a list of the oft-made mistakes that both franchisors and potential franchisees make during the all-critical validation and expectations-setting process. Although no one can completely error-proof their decision, many of these mistakes can be easily mitigated a priori. And, if not, it can be the beginning of an unhappy, short-lived and financially underwhelming nuptial period.

New Franchise Loan Transparency Bill Introduced in the US Senate

Posted by on Aug 2, 2019 in Featured, The Franchisee Voice | Comments Off on New Franchise Loan Transparency Bill Introduced in the US Senate

As our friend, Keith Miller, principle of Franchise Advocacy Consulting, likes to say, there are far more franchisees in this country than franchisors. When we join our voices together, we can be a powerful and persuasive political force. It’s time to raise your voice to support an exciting new bill that was just introduced on July 31, 2019 in the United States Senate by Senator Catherine Cortez Masto (D-NV). While the bill’s overall aims are modest, the changes—if enacted—will require franchisors to provide more transparency to prospective franchisees or face financial consequences.

Many potential franchisees become trusting of their chosen franchisor and go further to make the mistake of believing that their agreement and supply chain is, and must be, a “take-it-or-leave-it” agreement. Significant dangers lurk throughout almost every franchise or distribution agreement drafted by franchisors and suppliers

How to Protect Your Franchisee Equity

Posted by on Jun 27, 2019 in The Franchisee Voice | 0 comments

The theme of the 2019 AAFD Franchisee Leadership Summit is “Protecting Your Franchise Equity,” but we very well might have called it “Reclaiming Your Equity.” Truly, the important benefits of business ownership expected by franchise owners have been under siege for decades, and franchisees continue to see serious erosion of their ability to increase and secure the value of their franchise investments.

For over 25 years, the AAFD has pursued a market driven approach to reforming the franchise community. Unfortunately, we live in a political climate dominated by franchisor influence and a dearth of franchisee associations rallying together in common cause. The laws and legal precedents continue to strongly favor franchisor interests. The importance of franchisee associations to aggregate their combined resources under a common banner has never been more essential.
